These Terms & Conditions (“Terms”) govern your access to and use of Inprocure.ai (“Inprocure”, “we”, “our”, “us”), including our website, mobile applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

1. Platform Overview

Inprocure.ai is a technology platform that facilitates procurement transactions between buyers and sellers. Inprocure.ai acts as an intermediary marketplace and does not manufacture, own, or directly sell products or services unless explicitly stated.

2. Eligibility

You must be at least 18 years old and authorized to represent your business to use the Platform. By using Inprocure.ai, you confirm that all information provided is accurate and lawful.

3. Account Registration

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate and current business information.
• You are responsible for all activities conducted under your account.

4. Acceptable Use

You agree not to:

• Violate any applicable law or regulation
• Misuse the Platform or attempt unauthorized access
• Upload harmful code or malicious software
• Misrepresent your identity or business
• Interfere with Platform operations

We reserve the right to suspend or terminate accounts for violations.

5. Buyer Responsibilities

• Reviewing product listings and supplier terms
• Entering into binding purchase agreements with sellers
• Payment of agreed amounts
• Complying with applicable laws and regulations

6. Seller Responsibilities

• Accuracy of listings and pricing
• Compliance with applicable laws
• Fulfilling orders in a timely manner
• Handling returns and warranties as stated in their policies

7. Payments

Payments are processed through third-party payment providers. Inprocure.ai does not store full payment card details and is not responsible for payment processor errors or disputes.

8. Intellectual Property

All platform content, software, branding, and trademarks belong to Inprocure.ai or its licensors. Unauthorized use is prohibited.

9. User Content

Users retain ownership of their content but grant Inprocure.ai a non-exclusive, worldwide license to use content for operating and promoting the Platform.

10. Disclaimers

The Platform is provided “as is” and “as available.” We make no guarantees regarding availability, accuracy, or uninterrupted access.

11. Limitation of Liability

To the fullest extent permitted by law, Inprocure.ai shall not be liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed fees paid to Inprocure.ai in the preceding 12 months.

12. Indemnification

You agree to indemnify Inprocure.ai against claims arising from your use of the Platform or violation of these Terms.

13. Termination

We may suspend or terminate access at our discretion for violations or misuse.

14. Governing Law

These Terms shall be governed by the laws of the State of Georgia, USA.

15. Changes to Terms

We may update these Terms periodically. Continued use of the Platform constitutes acceptance of the revised Terms.
